Considering the market needs and technical advancements, TENG FEI Technology (Party A) and M-Systems (Party B), on basis of the principle of combining resources, sharing interests and long-term cooperation, co-develop the SSD technology based on the flash memory and, so that, within the specified period of time, a series of internationally advanced SSD products based on the flash memory can be introduced and quickly enter both the domestic and international markets. With the sharp price drop of flash memory in the future, the market share of SSD products based on the flash memory will quickly increase and substitute part of the mechanical hard disks in. It is under this technology and market background that Party A and Party B start the long-term cooperation.

乙方提供基于IDE接口和SATA接口等电子硬盘控制芯片设计技术为甲方单独设计生产一款基于IDE接口的电子硬盘控制芯片，芯片全部指标由甲方参照乙方现有芯片技术指标来提出。甲方在乙方的技术指导下组装生产甲方品牌的电子硬盘成品。经过国家有关部门检验、测试，符合中国标准并获准在中国市场销售上海翻译公司。

arty B provides Party A with the SSD control chip technology based on the IDE interface, SATA interface, etc so that Party A can independently design and produce a SSD control chip based on the IDE interface. Party A shall give all the indexes of the chip with reference to the technical indexes of Party B’s existing chip technology. Party A shall, under the technical guidance of Party B, assemble and produce the SSD products under the brand of Party A. The SSD products shall be able to pass the inspections and tests by relevant governmental authorities, comply with relevant national standards and be permitted for sales in China.
